1. Introduction

Welcome to Softgrid Solutions. These Terms and Conditions ("Terms") govern your use of our website (www.softgridsolutions.com) and all digital services provided by Softgrid Solutions ("Company," "we," "us," or "our"). By accessing our website, engaging our services, or making any payment, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Softgrid Solutions is a digital services company providing web development, mobile app development, digital marketing, graphic design, social media management, and eCommerce services to clients worldwide.

If you do not agree with any part of these Terms, you must discontinue use of our website and services immediately.

2. Definitions

  • "Client" or "You" refers to any individual, business, or entity that engages Softgrid Solutions for services or accesses our website.
  • "Services" refers to all digital services offered by Softgrid Solutions, including but not limited to web development, mobile app development, graphic design, social media management, eCommerce services, and digital marketing.
  • "Deliverables" refers to the final work product, files, designs, code, or other materials produced as a result of the services.
  • "Project Agreement" refers to any written proposal, service agreement, scope of work, or contract agreed upon between the Client and Softgrid Solutions prior to work commencement.

3. Services Offered

Softgrid Solutions provides the following digital services to international clients:

  • Web Development & Design
  • Mobile App Development (iOS & Android)
  • Graphic Designing (Logo, Flyers, Business Cards, Brochures, Social Media Graphics)
  • Social Media Management (Profile Setup, Content Creation, Ad Campaigns)
  • eCommerce Services (Marketplace Management, Amazon Store Setup, Product Data Services)
  • Digital Marketing & SEO/SEM Services

The specific scope, deliverables, timeline, and cost of each project will be outlined in a separate Project Agreement agreed upon by both parties prior to commencement of work. All services are digital in nature and delivered electronically.

4. Client Obligations

To ensure smooth and timely delivery of services, clients agree to:

  • Provide accurate, complete, and truthful information necessary for the project.
  • Respond to requests for feedback, approvals, or materials in a timely manner (within the timeframes specified in the Project Agreement).
  • Ensure that any content, images, trademarks, or materials provided do not infringe on any third-party intellectual property rights or violate any applicable laws.
  • Make payments according to the agreed schedule and through approved payment methods.
  • Not use the delivered services for any illegal, fraudulent, or unethical purposes.

5. Payment Terms

All payments are processed securely through PayPal or other agreed-upon payment methods. By making a payment, you agree to the following:

  • All prices are quoted in United States Dollars (USD) unless otherwise specified in the Project Agreement.
  • An advance payment (as specified in the Project Agreement) is required before work commences. No work will begin until the advance payment is received and confirmed.
  • Remaining payments are due as per the milestones outlined in the Project Agreement.
  • All quoted prices are exclusive of applicable taxes, duties, or levies unless explicitly stated otherwise. The Client is responsible for any taxes applicable in their jurisdiction.
  • Late payments may result in project suspension until outstanding amounts are settled. A grace period of 7 days will be provided before suspension.
  • Payment processing fees charged by PayPal or other payment processors are borne by the Client unless agreed otherwise.
  • All payments made through PayPal are subject to PayPal's User Agreement and Acceptable Use Policy.

6. Service Delivery

All services are delivered digitally via email, file-sharing platforms, or direct deployment as applicable. Specific delivery details include:

  • Estimated timelines for each project will be outlined in the Project Agreement. These are estimates and may be subject to change based on project complexity, client feedback cycles, and external factors.
  • Deliverables will be provided in the formats specified in the Project Agreement.
  • The Client will have a reasonable review period (as outlined in the Project Agreement) to request revisions or approve deliverables.
  • Final delivery is considered complete upon client approval or upon the expiration of the review period without objection.

7. Revisions and Modifications

Each project includes a specified number of revision rounds as outlined in the Project Agreement:

  • Revisions within the agreed scope are included in the project cost at no additional charge.
  • Additional revisions beyond the agreed scope will be quoted separately and must be approved by the Client before proceeding.
  • Major scope changes or feature additions after project commencement may require a revised Project Agreement with updated pricing and timelines.

8. Intellectual Property

Upon full payment of all project fees and outstanding invoices:

  • The Client receives full ownership and intellectual property rights to the final deliverables as specified in the Project Agreement.
  • Softgrid Solutions retains the right to showcase completed work in its portfolio, case studies, and marketing materials unless otherwise agreed in writing.
  • Any pre-existing intellectual property, proprietary tools, frameworks, libraries, or templates used by Softgrid Solutions in the creation of deliverables remain the sole property of Softgrid Solutions or their respective owners.
  • The Client warrants that all content, materials, and assets provided to Softgrid Solutions do not infringe upon any third-party intellectual property rights.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, sensitive, or business-critical information shared during the course of the engagement. This includes but is not limited to business strategies, client data, login credentials, trade secrets, and financial information. This confidentiality obligation survives the termination or completion of the service agreement for a period of two (2) years.

10. Warranties and Disclaimers

Softgrid Solutions provides services with professional care, skill, and diligence. However:

  • We do not guarantee specific results from digital marketing, SEO, or social media services, as outcomes depend on various external factors including market conditions, competition, platform algorithms, and audience behavior.
  • All services are provided "as is" and "as available" without warranties of any kind, whether express or implied, except as specifically stated in the Project Agreement.
  • We are not liable for any third-party service disruptions, platform policy changes, algorithm updates, hosting downtime, or marketplace rule changes that may affect deliverables.
  • We do not warrant that the website, application, or digital asset created will be free from all errors, bugs, or security vulnerabilities, though we will address reported issues within a reasonable support period.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Softgrid Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services, including but not limited to loss of profits, data, business opportunity, or goodwill.
  • Our total aggregate liability for any claim arising out of or related to our services shall not exceed the total fees paid by the Client for the specific project in question.
  • This limitation applies regardless of the legal theory under which liability is sought, whether in contract, tort, negligence, strict liability, or otherwise.

12. Indemnification

The Client agrees to indemnify, defend, and hold harmless Softgrid Solutions, its owners, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • The Client's breach of these Terms.
  • The Client's use of the delivered services.
  • Any content, materials, or information provided by the Client that infringes upon third-party rights.
  • Any violation of applicable laws or regulations by the Client.

13. Termination

Either party may terminate the service engagement by providing written notice as specified in the Project Agreement. Upon termination:

  • The Client is responsible for payment of all work completed up to the date of termination.
  • Any advance payments may be partially or fully non-refundable based on the work completed, as outlined in our Refund Policy.
  • All Client materials will be returned, and Softgrid Solutions materials and tools will be reclaimed.
  • Sections relating to Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, and Dispute Resolution shall survive termination.

14. Dispute Resolution

In the event of any dispute arising from these Terms or our services:

  • Step 1 — Direct Resolution: Both parties shall first attempt to resolve the dispute through good-faith negotiation by contacting each other directly.
  • Step 2 — Mediation: If the dispute cannot be resolved through negotiation within 30 days, the parties agree to attempt mediation through a mutually agreed-upon mediator.
  • Step 3 — Arbitration: If mediation fails, the dispute shall be resolved through binding arbitration in accordance with applicable arbitration rules.

If you have made a payment via PayPal, we encourage you to contact us directly before opening a dispute or claim through PayPal. We are committed to resolving all issues promptly and fairly. Opening a PayPal dispute without first contacting us may delay the resolution process.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable international commercial laws. Any legal proceedings arising from these Terms shall be conducted in a jurisdiction mutually agreed upon by both parties, or in the jurisdiction where Softgrid Solutions is registered.

16. Force Majeure

Softgrid Solutions shall not be held liable for any failure or delay in performing obligations due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, internet or power outages, or other force majeure events.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with any Project Agreement and our Privacy Policy, Refund Policy, and Cancellation Policy, constitute the entire agreement between the parties and supersede all prior communications, representations, and agreements.

19. Changes to Terms

Softgrid Solutions reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to our website with an updated revision date. We will make reasonable efforts to notify clients of material changes. Continued use of our website or services after any modifications constitutes acceptance of the updated Terms.
